These Terms and Conditions of Business are deemed to be the basis of Talentpath’s agreement with you to supply or engage permanent, temporary or contracting employees to you (referred to where relevant as you or the Client) and will become effective upon engagement of Talentpath’s services.

Acceptance
By interviewing a candidate introduced to you by Talentpath, you will accept our Terms and Conditions of Business.

Confidentiality
All information supplied by Talentpath whether verbal or written is confidential and should not be disclosed to any other party without the express written approval of Talentpath.

Introduction
All introductions of candidates are strictly confidential. Any offer of employment to the candidate presented by Talentpath either verbally or written within twelve (12) months of the date of introduction within the Client’s organisation, or any other affiliated or related company, including referrals to another employer, is subject to the full fee shown in the fee schedule.

Engagement
You must notify us immediately if/when an engagement with your organisation is accepted by a candidate who we have introduced to you. If the introduction is made indirectly, whether as an employee or in any other capacity, within twelve (12) months of the initial introduction, you must still agree to pay us the amount calculated in accordance with the fee schedule.

Suitability
Whilst we will make every reasonable effort to ensure the suitability of the candidates, we do not accept any liability for any loss, expense, damage or delay arising in connection with the candidate irrespective of how it may be caused. You will need to satisfy yourself that any medical requirement or other qualification has been met by the candidate. The final recruitment decision rests with you.

Fee for Service
The fee payable by you to Talentpath for the introduction of a candidate who subsequently accepts an engagement is calculated as a percentage of the candidate’s gross annual salary to be received during the first twelve (12) months. “Salary” includes all payments including base salary, superannuation, bonuses, commissions, site allowances, benefits in kind (including motor vehicle) and any other payment arising from the engagement. The fee is still payable if the candidate is engaged in a position other than the one originally intended. No charge whatsoever is made to the candidate. (GST will be charged wherever it applies).
A minimum charge rate of $4,000 plus GST applies to all placements.

Part time and Fixed Term Contracts
The recruitment process for part time positions or fixed term contracts is identical to that of a full time position, therefore the fee payable will be calculated according to the equivalent gross annual salary package based on full time employment.

Invoicing
Talentpath will raise invoices upon placement of the candidate or the supply of any additional services. Invoices are payable within seven (7) days of their date of issue.

Acceptance
Talentpath does not guarantee that a candidate is available to accept any engagement.

Replacement Guarantee
Talentpath offers a one-off replacement guarantee within three (3) months from the commencement of the successful candidate’s employment. If for any reason (other than redundancy/restructure or any change in the original job specification provided to Talentpath at the time of the appointment) the employee should resign or be terminated within the guarantee period.

If the replaced candidate is offered a higher “salary” than the original candidate, the difference will be invoiced in accordance with the fee schedule.

The guarantee applies only to the replacement of the original position placed and can only be used for appointment of a permanent employee by Talentpath. Talentpath contractors hired by you must be paid for in accordance with the Talentpath Contractors Terms and Conditions of Business.

If you or any other affiliated or related company re-engages the candidate within twelve (12) months of the date of termination, Talentpath will then charge a fee for the replacement candidate.

For your replacement guarantee to remain in force, your account must be paid within seven (7) days of the invoice date. Accounts not settled within this period remain due and payable and the replacement guarantee does not apply.

Acceptance
The engagement of a contractor will be deemed as acceptance of the Terms and Conditions of Business.

Timesheets
You undertake to pay the hourly, daily or weekly charges, as per the agreed terms between yourself and Talentpath, advised at the time of the contractor booking together with any other agreed incidental charges. You will also sign Talentpath’s timesheets to verify actual hours worked. GST will be charged wherever it applies.

Invoicing
Talentpath will submit invoices for payment, and any other appropriate costs, on a weekly basis. The invoices are payable within seven (7) days of their date of issue.

Payroll
Talentpath is responsible for the payment of the contractor and deduction and payment of all statutory contributions of income tax, payroll tax, workers’ compensation and superannuation.

Responsibility
All contractors provided to you are under your responsibility from the time that they arrive to undertake their duties and throughout their employment period with you. You will be responsible at all times for all acts, errors or omissions on the part of every contractor, whether willful, negligent or otherwise and as a result neither Talentpath nor anyone acting on our behalf is liable for loss, expense or damage caused by any act or omission of the contractor.

Furthermore, you will also comply with all statutes, bylaws and legal requirements affecting the contractor, which apply to your own employees.

When using a Talentpath contractor you will indemnify Talentpath against any costs, claims and liabilities incurred by us arising from the booking.

Liability
Neither Talentpath nor anyone acting on our behalf accepts liability for any loss, expense, damage or delay from our failure to provide a contractor for the whole or part of a booking.

Feedback
You should inform us immediately of any changes to the original booking (duties, duration, hours etc), if you have any complaints regarding the conduct of a contractor, or of any other circumstances which may affect the contractor’s ability to perform the assignment to your satisfaction.

Contract to Permanent Placements
Any offer of employment to a contractor provided by Talentpath during or within twelve (12) months of the completion of their assignment, within the clients organisations, or any other affiliated or related company, including referrals to another employer, is subject to the full fee shown in the fee schedule. Talentpath does not offer a replacement guarantee for any contract to permanent placements.

Transfers
If you transfer a contractor to another consultancy or agent, where that contractor continues to be engaged by you on a temporary or permanent basis, you agree to the following terms. A transition period of 60 days must be provided. During the transition period the contractor will continue to be paid and charged by Talentpath. Once the 60 days has passed, only then can the contractor be assigned to the new consultancy or agent. A one-off release fee of $4000 will be charged per person.

Invoicing
Payment terms are strictly seven (7) days from the date of invoice for all contract, contract to permanent placements or transfers. It is your responsibility to sign and approve all contractors timesheets on a weekly basis which will subsequently form the basis of our invoices to you.

In signing the timesheet you accept responsibility for payment of any overtime or penalty provisions applicable under the relevant award. Minimum bookings are for 4 hours per day. 

Workplace Safety
All clients have a duty of care obligation to the contractor under the Occupational Health and Safety Act, Regulations, Code of Practices and Australian Standards, as appropriate, to ensure that there is a provision of:

A safe workplace;
A safe work system;
Adequate supervision and training;
An induction to site and equipment, including amenities and evacuation procedures; Eliminating hazards and controlling risks to health and safety.

You agree to notify Talentpath of any changes to the workplace or tasks to be performed by the contractor.

You shall not allow the contractor to carry out work on a site or on equipment considered unsafe by any party, or where the contractor does not have the appropriate qualifications or previous experience and has not received adequate training.

You agree to hold Talentpath harmless from any penalty or cost issued against Talentpath due to the negligence or breach of any statutory obligation by you.

Talentpath, as the contractor’s employer, has the right and responsibility to act in consultation with you and the contractor on health and safety within the work environment.
